END USER LICENSE AGREEMENT FOR PROXYEAZE SOFTWARE

END-USER LICENSE AGREEMENT FOR PROXYEAZE SOFTWARE IMPORTANT PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE CONTINUING WITH THIS PROGRAM INSTALL: ProxyEaze.com End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and ProxyEaze.com. for the ProxyEaze.com software product(s) identified above which may include associated software components, media, printed materials, and "online" or electronic documentation ProxyEaze Software. By installing, copying, or otherwise using the ProxyEaze Software, you agree to be bound by the terms of this EULA. This license agreement represents the entire agreement concerning the program between you and ProxyEaze.com, (referred to as "licenser"), and it supersedes any prior proposal, representation, or understanding between the parties. If you do not agree to the terms of this EULA, do not install or use the ProxyEaze Software.

ProxyEaze Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The ProxyEaze Software is licensed, not sold.
1. GRANT OF LICENSE.

The ProxyEaze Software is licensed as follows:

(a) Installation and Use.

- The user should use the Free Version or Licensed Version of ProxyEaze to use the software. ProxyEaze.com grants you the right to install and use copies of the SOFTWARE PRODUCT on your computer running a validly licensed copy of the operating system for which the SOFTWARE PRODUCT was designed [e.g., Windows 95, Windows NT, Windows 98, Windows 2000, Windows 2003, Windows XP, Windows ME, Windows Vista, Windows 7].

- Each purchase of the ProxyEaze software is A LIFETIME LICENSE for use for ONE COMPUTER. If you want to install Licensed Version on another computer or you modified the hardware that changed your computer ID, you should buy another license.

- By using Free Version or Licensed Version, end user agrees that ProxyEaze software will take information about your computer including a unique computer id, Windows version and IP address. This information is what we use to identify the end user and to determine the number of installations of the software. This information is held in the strictest confidence and is used to inform you of updates and also to detect, prevent and prosecute violation of the licence terms and conditions.

- This software End User License Agreement is effective upon your installing the software and shall continue until it is terminated. The license will terminate upon breach of any of the terms and conditions of this Agreement.

(b) Backup Copies.
You may also make copies of the ProxyEaze as may be necessary for backup and archival purposes.
2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

(a) Maintenance of Copyright Notices.
You must not remove or alter any copyright notices on any and all copies of the ProxyEaze Software.

(b) Distribution.
You may not distribute licensed copies of the ProxyEaze to third parties. Free versions available for download from ProxyEaze.com may be freely distributed.

(c) Prohibition on Reverse Engineering, Decompilation, and Disassembly.
You may not reverse engineer, decompile, or disassemble the ProxyEaze, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

(d) Rental.
The end user may not sell, rent, lease, loan, give, sublicense or otherwise transfer the software or any copy of the software in whole or in part to any other person or third party.

(e) Support Services.
ProxyEaze.com may provide you with support services related to the ProxyEaze. Any supplemental software code provided to you as part of the Support Services shall be considered part of the SOFTWARE PRODUCT and subject to the terms and conditions of this EULA. (f) Compliance with Applicable Laws.
You must comply with all applicable laws regarding use of the ProxyEaze.
3. TERMINATION
A violation of this Agreement, or use of the software in violation of any law or rules of any search engine shall constitute an immediate revocation of the license to use the software granted herein.
4. COPYRIGHT
All title, including but not limited to copyrights, in and to the ProxyEaze and any copies thereof are owned by ProxyEaze.com. All title and intellectual property rights in and to the content which may be accessed through use of the ProxyEaze is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content. All rights not expressly granted are reserved by ProxyEaze.com.
5. NO WARRANTIES
ProxyEaze.com expressly disclaims any warranty for the ProxyEaze. The ProxyEaze is provided 'As Is' without any express or implied warranty of any kind, including but not limited to any warranties of merchantability, noninfringement, or fitness of a particular purpose. ProxyEaze.com does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the ProxyEaze. ProxyEaze.com makes no warranties respecting any harm that may be caused by the transmission of a computer virus, worm, time bomb, logic bomb, or other such computer program. ProxyEaze.com further expressly disclaims any warranty or representation to Authorized Users or to any third party.
6. LIMITATION OF LIABILITY
ProxyEaze.com is not associated with any search engine or site, and you agree to abide by all the terms and conditions of any search engines/sites for which you use this software including by way of example and not limitation, restrictions on the content and number of communications that you may send, however described, within any given time period as those search engines may from time to time establish. Accordingly ProxyEaze is not warranted or guaranteed as acceptable for use by any search engine/site presently or hereafter. You agree to accept responsibility for your use of this software and any consequence or fine imposed upon you by any governmental entity, third party, or search engine and to indemnify and hold harmless the owner of this software for any claims made resulting from your use of this software. By purchasing and using this software, you waive and release any claim for damages, indemnity, or reimbursement against the owner of this software for any claims or fines imposed upon you for use of the software.

In no event shall ProxyEaze.com be liable for any damages (including, without limitation, lost profits, business interruption, or lost information) rising out of 'Authorized Users' use of or inability to use the ProxyEaze, even if ProxyEaze.com has been advised of the possibility of such damages. In no event will ProxyEaze.com be liable for loss of data or for indirect, special, incidental, consequential (including lost profit), or other damages based in contract, tort or otherwise. ProxyEaze.com shall have no liability with respect to the content of the ProxyEaze or any part thereof, including but not limited to errors or omissions contained therein, libel, infringements of rights of publicity, privacy, trademark rights, business interruption, personal injury, loss of privacy, moral rights or the disclosure of confidential information.
